UPDATE ANNOUNCEMENT

IN RELATION TO THE MAJOR TRANSACTION

INVOLVING PROVISION OF FINANCIAL ASSISTANCE

This announcement is made by Noble Century Investment Holdings Limited (the ''Company'') pursuant to Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong) and Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited.

Reference is made to the announcement of the Company dated 26 January 2016 and the circular (the ''Circular'') of the Company dated 10 March 2016 in relation to, among others, the major transaction involving the entrusted loan agreement (the ''Entrusted Loan

Agreement'') and entered into among 仁瑞堂實業(深圳)有限公司 (transliterated as Noble Century Industrial (Shenzhen) Company Limited#) as lender, 漢能公務航空有限公司

(transliterated as Hanergy Civil Aviation Company Limited#) as borrower and Agricultural Bank of China Limited as lending agent. Unless otherwise defined, capitalised terms used in

this announcement shall have the same meanings as those defined in the Circular.

On 6 April 2016, the Lending Agent has provided the Entrusted Loan in the principal amount of RMB54.79 million to the Borrower in full. Pursuant to the terms of the Entrusted Loan Agreement, the Borrower shall repay the Entrusted Loan and the interest accrued thereon to the Lending Agent by twelve (12) quarterly installments in the amount of approximately RMB5.15 million each every three (3) months commencing from 6 April 2016.

As at the date of this announcement and notwithstanding repeated requests made by the Lending Agent and the Lender, the Borrower failed to make repayment due on 6 January 2017 and 6 April 2017 and the interest accrued thereon in accordance with the terms of the Entrusted Loan Agreement.

On 16 May 2017, the Lender has issued formal notice to the Borrower and the Guarantor demanding repayment of the principal amount of the Entrusted Loan, all the interest accrued thereon and the default payment.

On 23 May 2017, the Lender has commenced legal proceedings against the Borrower and the Guarantor in the PRC in relation to the Entrusted Loan Agreement and the Guarantee Contract.

The Company will make further announcement as and when appropriate in relation to the progress of the above matters.
