FURTHER EXTENSION OF COMPLETION DATE IN RELATION TO THE

ISSUE OF CONVERTIBLE BONDS UNDER SPECIFIC MANDATE

Reference is made to the circular of Hong Kong Resources Holdings Company Limited (the "Company") dated 18 July 2019 (the "Circular") in relation to the issue of convertible bonds under specific mandate and the announcement of the Company dated 6 September 2019 (the "Announcement") in relation to the extension of the Completion Date. Unless otherwise defined, capitalised terms used herein have the same meanings as defined in the Circular.

Further extension of Completion Date

As disclosed in the Circular, the Completion of the Subscription is expected to take place within three Business Days after the fulfillment of the conditions of the Subscription, and as disclosed in the Announcement, the Completion Date had been extended to no later than 26 September 2019. After arm's length negotiations, the Company and the Subscriber have agreed in writing to further extend the Completion Date to no later than 31 October 2019.

Save as the aforesaid, all other terms and conditions of the Subscription Agreement shall remain unchanged and continue in full force and effect.
