Il Sole 24 ORE S.p.A.: Shareholders' Meeting

of the holders of special-category shares

Milan, 27 April 2023 - The Shareholders' Meeting of the holders of the special-category shares of Il Sole 24 ORE S.p.A. met today under the chairmanship of Marco Pedretti, Common Representative of the Special-Category Shareholders.

The Shareholders' Meeting approved the report pursuant to Article 146, paragraph 1, letter c) of Legislative Decree no. 58/1998 ("TUF") of the Common Representative for the three-year period 2020-2022, on the fund set up for the expenses required to protect the common interests of the Shareholders holding special-category shares.

The Shareholders' Meeting also confirmed Marco Pedretti as the Common Representative of special-category shareholders, setting in three financial years and, therefore, until the Shareholders' Meeting called to approve the financial statements for the year ending 31 December 2025, the duration of the term of the Common Representative.

The Shareholders' Meeting set the remuneration of the Special-Category Shareholders' Common Representative at € 10,000.00 gross per year, leaving it unchanged versus the previous term.

Lastly, the Shareholders' Meeting approved, in accordance with Article 146, paragraph 1, letter b) of the TUF, the proposal to amend Article 37 of the Bylaws regarding the Distribution of Profits in accordance with the proposal expressed by the Common Representative in his report, in line with the proposal submitted by the Board of Directors in the relevant report pursuant to Article 72 of the Issuer Regulation adopted by CONSOB Resolution no. 11971 of 14 May 1999, both published on 6 April 2023.
