RESOLVES TO PROPOSE TO THE NEXT SHAREHOLDERS' MEETING THE AUTHORISATION

TO PURCHASE AND DISPOSE OWN SHARES, PURSUANT TO THE COMBINED

ARTICLES. 2357 AND 2357-TER OF THE ITALIAN CIVIL CODE.

Milan, 14 March 2022 - Innovatec S.p.A. ( BIT: INC, ISIN: IT0005412298), listed on the Euronext Growth Milan market, announces that the Board of Directors held today resolved to propose to the next Shareholders' Meeting, called to approveal the 2021 financial statements, to authorise the Board of Directors of the Company - for a period of 18 months - to buy back Innovatec shares, in one or more instalments, also through subsidiaries, up to 10% of the Company's share capital, within the limits established by law and in compliance with the applicable regulations on Euronext Growth Italia, with particular reference to the equal treatment of shareholders, and in compliance with the operating conditions established for accepted market practices where applicable. Today's Board also resolved to propose to the Shareholders' Meeting to grant the authorisation to the Board of Directors to sell treasury shares, pursuant to Article 2357-ter of the Italian Civil Code and in the manner deemed most appropriate in the interest of the Company and in compliance with applicable regulations.

Today, the Board of Directors also reviewed the progress of the HouseVerde Project launched by the subsidiary Innovatec Power s.r.l. ("Innovatec Power") on 23 June 2020. At today's date Innovatec has reached a portfolio of 110% ecobonus final contracts of approximately €156 million. The 110% Ecobonus portfolio of project proposals ("Computi metrici estimativi" CME) amounts to €114 million. These CMEs will be transformed into final contracts only after the positive outcome of the receipt and analysis of the documentation in accordance with the regulations in force. Based on the current state of progress of the construction sites, the Issuer estimates that revenues will accrue - depending on the start-up date and the complexity of the works - in the years 2022 and 2023, net of those already realised in 2021.

The CEO, Roberto Maggio, commented: "The HouseVerde project is giving us great satisfaction in terms of volume of business, with further business development following the extension of the ecobonus until 2024 and 2025, albeit in different ways. Despite the climate of uncertainty generated by the crisis between Russia and Ukraine, and the consequent increase in energy and raw material prices, the company does not believe it needs to revise its growth targets, which are confirmed in light of the performance of the first two months of the year, in line with the budget if not slightly better. Considering the contingent situation, governments and EU authorities will only be able to further support the development of renewable sources and energy efficiency.
