Pursuant to the terms of the agreement entered into on May 3, 2010, Interactive Data's stockholders will receive $33.86 in cash, without interest, less any applicable withholding taxes, for each share of Interactive Data common stock they own. In conjunction with the transaction, Interactive Data's common stock will no longer trade on the New York Stock Exchange and will be de-listed accordingly.
