RELEVANT FACT
IOCHPE-MAXION S.A. ("Company"), pursuant to the fourth paragraph of article 157 of Law nº 6,404/76, and to the Resolution nº 44/2021 of the Brazilian Securities Commission ("CVM", for its acronym in Portuguese), hereby informs its shareholders and the market that the Company's Board of Directors, at a meeting held on this date, approved a share buyback program, pursuant to CVM Resolution No. 77/2022, with the following main characteristics:
the authorized share buyback aims to mitigate a possible impact on the Company arising from its obligations as a result of its Long-Term Incentive Plan, which provides for the possibility of granting, by the Company, a pecuniary premium to certain directors and other executives, referenced in the appreciation of the Company's shares on the stock exchange and on the return on invested capital of the Company; (ii) up to 500,000 (five hundred thousand) shares of its own issuance may be acquired by the Company, which, together with the shares already held in treasury, will represent 3.05% of the outstanding shares; and (iii) the settlement of the share buyback transactions will take place within a period of up to six months from March 06, 2024, and it is up to the Executive Board to decide the best time to carry out the operations, in compliance with the limits established in the program and in the applicable regulations. Therefore, the deadline for the settlement of authorized operations will end on September 06, 2024.
