SESSION OFSHAREHOLDERS MEETING

The CEO of ISAGEN S.A. E.S.P. (the 'Company') calls all shareholderes to the extraordinary session of the Shareholders Meeting that will be held on June 1, 2017, at 10:00 a.m., at Carrera 30 No. 1OC 280, Transversal Inferior, El Poblado, in Medellfn, Antioquia.

The Agenda will bethe following:

1. Quorum verification.

2. Appointment of Chairman and Secretary.

3. Appointment of committee to approve the Minutes.

4. Review of Statutory Auditor Report and approval of Company Financial Statements as of March 31, 2017, as the base for the merger.

5. Review and approval of merger and merger commitment to be entered into by ISAGEN S.A. E.S.P. and BRE Colombia Holdings SAS.

6. Approval of the value of assets and liabilities of the absorbed Company and the absorbing Company.

7. Approval of necessary Bylaws amendment resulting from the merger.

8. Right of withdrawal.

Inaccordance with Article 13 of Law 222 of 1995, it is informed that for 15 business days before the meeting called herein, the merger project, with all annexes thereto, will be available for shareholders inspection at the main headquarters of the Company Carrera 30 No. 1OC 280, Transversal Inferior, El Poblado, inthe city of Medellin.

It is also reported that in accordance with Article 12 and subsequent of Law 222 of 1995 and other related norms, the shareholders can exercise their right of withdrawal pursuant to the terms set out in the law.
