On June 2, 2021, KushCo Holdings, Inc. (the "Company") issued a press release announcing that a putative shareholder class and derivative action filed on October 1, 2020, in the United States District Court, Central District of California, Case No. 8:20-cv-01904-JLS-KES, against the Company and its directors, has been dismissed, bringing the case to an end. A copy of the Company's press release is filed as Exhibit 99.1 and is incorporated in this Item 8.01 by reference.
