COMPANY ANNOUNCEMENT

The following is a Company Announcement issued by LifeStar Holding plc ("the Company") pursuant to the Listing Rules issued by the Listing Authority.

The Company refers to the Prospectus, dated 04 May 2021 (the "IPO Prospectus"), approved by the Listing Authority and issued by its subsidiary company, LifeStar Insurance p.l.c ("LSI") in respect of the offer for sale of 18,518,519 ordinary shares in LSI by the Company at an offer price of €0.54 per share (the "Share Offer") and the offer of 6,570,000, ordinary shares in LSI by the Company to its shareholders in exchange for their ordinary shares in the Company at an exchange ratio of 1 Company share to 1 share in LSI (the "Exchange Offer"). Furthermore, the Company refers to the Prospectus dated 06 May 2021 (the "Bond Prospectus"), approved by the Listing Authority and issued by LSI, in respect of an issue of €10,000,000 4% Subordinated Bonds due 2026-2031 (the "Bond Issue").

Reference is made to the Company's earlier announcement of 19 May 2021 (LSR316), through which the market was informed that LSI has extended the offer period of the Share Offer and of the Bond Issue until 28 May 2021 and the offer period of the Exchange Offer until 25 May 2021.

The Company hereby informs the market that with respect to the Bond Issue, applications received from Preferred Applicants will be accepted by Bank of Valletta p.l.c. (acting as Registrar) until 25 May 2021. Following 25 May 2021 and until 28 May 2021 an Intermediaries' Offer will take place in respect of which licensed stockbrokers and financial intermediaries listed in Annex C of the Bond Issue Prospectus, need to complete a subscription agreement as applicable. Applications with respect to the Share Offer received following 25 May 2021 and until 28 May 2021, will only be accepted by Bank of Valletta p.l.c. (acting as Registrar) if said application forms are made in the name of the licensed stockbrokers and financial intermediaries listed in Annex E of the IPO Prospectus (in relation to the Share Offer).
