LINK MOBILITY GROUP AS Oslo ,1 March 2024 : Reference is made to the announcement byLINK Mobility Group Holding ASA (the "Company" and together with its consolidated subsidiaries, the "Group") on1 June 2023 regarding the implementation and amendment of the Company's LTI Program for management and key employees (2022 LTIP), and on3 January 2024 regarding closing of Message Broadcast divestment. In accordance with the 2022 LTIP vesting schedule, the first 1/3 of the granted share options vested on7 December 2023 (Tranche 1) at an exercise price ofNOK 8.11 . In addition, as a result of the completed divestment of Message Broadcast, employees of Message Broadcast (former employees of the Group), are entitled to exercise their remaining 2/3 of the share options under Tranche 2 and Tranche 3 during a 12-month period from the closing date as follows: Tranche 2: 1/3 of the share options at an exercise price ofNOK 9.08 , and Tranche 3: 1/3 of the share options at an exercise price ofNOK 10.17 . Upon expiry of the current exercise window, a total of 1,667,163 share options have been exercised at the exercise prices set out above, resulting in a total of 1,667,163 new shares to be issued by the Company. Following the LTIP exercise, the Board of Directors have pursuant to authorization granted by the Company's Annual General Meeting31 May 2023 , resolved to increase the Company's share capital with up toNOK 8,335.815 by issuing up to 1,667,163 new shares, each with a nominal valueNOK 0.005 .
