Other Relevant Information
As previously announced in Listing Notice No. LN00116-2022 dated May 2, 2022, the Exchange approved the application of Manila Mining Corporation ("MA" or the "Company") for the listing of additional 31,159,217,274 MA common shares and 20,758,140,466 MAB common shares ("Rights Shares"), to cover the Company's 1:5 Stock Rights Offering ("SRO" or the "Offer"), at an Offer Price of Php 0.01 per share.
As of July 21, 2022, the Company has complied with the applicable listing requirements of the Exchange, including among others, the submission of the Sworn Corporate Secretary's Certificate dated June 7, 2022 attesting to the following:
For "MA" shares:
Number of Fully-paid Shares in the First Round: 1,269,466,643
Number of Partially-paid Shares in the First Round: 13,377,318,487
Number of Fully-paid Shares subscribed in the Second Round: 4,758
Number of Partially-paid Shares in the Second Round: 16,512,427,386
Number of Entitlement Rights Shares taken up by F.Yap Securities, Inc., the Principal Shareholder: 4,998,296,271
For "MAB" shares:
Number of Fully-paid Shares in the First Round: 226,810,925
Number of Partially-paid Shares in the First Round: 13,203,363,985
Number of Fully-paid Shares subscribed in the Second Round: 46,789

The Sworn Certificate further stated that:
"Penta Capital & Investment, Inc. and QIBs did not subscribe to any of the Offer Shares."
Further, in a letter dated July 20, 2022, the Company informed the Exchange "that there was no stockholder who acquired Offer Shares in our recent 1:5 SRO and ended up owning over 50% of the total outstanding equity securities of Manila Mining Corporation."
There will be a total of 1,269,471,401 fully-paid Entitlement Rights MA Shares and 226,857,714 fully-paid Entitlement Rights MAB Shares that will be listed on listing date. The remaining balance of partially-paid shares will follow the payment terms of 25% due 60 days from the end of the Offer Period and the balance of 50% is due 90 days from the end of the Offer Period.

Likewise, the Company certified on July 18, 2022 that a total of 28,800,000 MA shares and 19,200,000 MAB shares to cover its Employee Stock Option Plan ("ESOP") have been lodged with the Philippine Depository and Trust Corporation. Subsequently, the Philippine Depository and Trust Corporation issued a lodgment certification dated July 19, 2022 covering the fully-paid Entitlement Rights MA and MAB Shares, and the ESOP shares.
Lastly, as part of the Exchange's reconciliation on the number of issued, outstanding and listed shares, the Company requested for the reduction of 3,960,844 Class A shares and 3,803,455 Class B shares to the Company's listed shares.
