Sub: Appointment of Mr. Ajit Gyanchand Jain as the Interim Resolution Professional (IRP)
1. This is to bring to your kind notice that the Corporate Insolvency Resolution Process ("CIRP") with respect to Maximaa Systems Limited ("Company" or "Corporate Debtor") was initiated under the Insolvency and Bankruptcy Code, 2016 read with all the rules and regulations framed thereunder ("Code") by the Hon'ble National Company Law Tribunal, Ahmedabad Bench I ("NCLT") vide Order dated 28 November, 2022 ("Insolvency Commencement Date ") ("CIRP Order") and Mr. Ajit Gyanchand Jain has been appointed as the Interim Resolution Professional ("IRP") under section 16(1) of the Insolvency and Bankruptcy Code, 2016 ("IBC"). A copy of the said CIRP Order is attached herewith and marked as Enclosure A.
Pursuant to the said order and in terms of the provisions of Code, the powers of the Board of Directors shall stand suspended and will be exercised by me on and from 28 November 2022.
The instant intimation with respect to the public announcement is for your information and record.
Please also note that as per section 17 (1) of the IBC, 2016 the management of the affairs of the corporate debtor shall vest in the interim resolution professional and the powers of the board of directors or the partners of the corporate debtor, as the case may be, shall stand suspended and be exercised by the interim resolution professional;
