5.Cause of occurrence:
(1)The shareholders meeting of Merry Corporation on 2021/7/21 resolved to
issue 2,000,000 shares of restricted stocks to employees, with a par value
of NT$10. This was filed to the Financial Supervisory Commission (FSC) and
effective according to the FSC letter No. 1100371016 on 2021/10/22.
(2)The issuance of restricted stocks to employees amounting to 1,800
thousand shares in 2021 has been resolved by the meeting of the board of
directors of Merry Corporation on 2022/07/28. The record date of the
capital increase is 2022/07/29. In the event of terms changes in the
future, it is proposed that the adjustment will be made by chairman under the
authorization of the board of directors.
(3)Relevant restrictions and important agreed matters or others for the
aforesaid issuance of restricted stocks to employees shall be handled in
accordance with relevant laws and regulations, and the Company's
"Procedures for Issuance of Restricted Stockes to Employees in 2021".
