Mexedia: with the signing of the letter of intent with Beewize, a journey begins that could lead to a merger by the end of 2024
"With the signing of the letter of intent between Mexedia S.p.A. - Benefit Company and Beewize S.p.A., and their respective controlling entities, a journey begins that could lead to a merger by the end of 2024."
This is clarified in a statement by Mexedia S.p.A. - Benefit Company (www.mexedia.com/en), an Italian tech company listed in France on Euronext Growth Paris.
"A non-binding LOI has been signed, which could be formalized into a binding contract, and the merger could occur by 2024.
The process will be subject to the approval of the boards of directors and the general meetings of the companies participating in the merger. In the event of a positive resolution by the competent bodies, among other things, it presupposes the publication of an information prospectus approved by Consob for the admission to listing of the new issue shares allocated as part of the merger operation.
If the process moves forward, Mexedia will be incorporated by Beewize S.p.A., a company that is listed on the main market of Borsa Italiana Euronext Milan.
The hypothetical shareholding structure of the resulting company, which will be called Mexedia SB S.p.A. and will be listed in Milan, will see the current shareholders of Mexedia in a controlling position."
