SHAREHOLDERS' MEETING OF 23 JUNE 2021

The Shareholders approve the Directors' Report on Operations and the Financial Statements as at 31 December 2020 as well as Section I of the Report on Remuneration Policy and Remuneration paid

Milan, 23rd June 2021

The Shareholders of Mittel S.p.A. - at their meeting today held through telecommunication means, in line with the option provided for by art. 106, paragraph 2, Law Decree 18/2020, converted into Law nr. 24/2020, which application was extended by Law Decree nr. 183 of 31 December 2020, converted with amendments into Law n. 21 of 26 February 2021 - unanimously resolved to:

1. approve the Directors' Report on Operations and the Financial Statements as at 31 December 2020, as well as the proposal to cover the loss for the year of Euro 1,656,096 by means of available reserves;

1. approve, pursuant to art. 123-ter, paragraphs 3-bis and 3-ter, of Legislative Decree 58/1998 (TUF), the "Remuneration Policy for the year 2021", explained in Section I of the "Report on Remuneration Policy and Remuneration paid" ("Report"), and the related procedures for its adoption and implementation; the Shareholders' Meeting, pursuant to art. 123-ter, paragraph 6, of the TUF, also voted in favour of the "Compensation paid in 2020" indicated in Section II of the aforementioned Report;
