Item 8.01 Other Events.
On April 2, 2021, MTS Systems Corporation, a Minnesota corporation (the
"Company") received all regulatory approvals required to complete the previously
announced merger and other transactions contemplated by the Agreement and Plan
of Merger, dated as of December 8, 2020, by and among the Company, Amphenol
Corporation, a Delaware corporation ("Parent"), and Moon Merger Sub Corporation,
a Minnesota corporation and wholly-owned subsidiary of Parent (as may be amended
from time to time and including the plan of merger attached as Exhibit A
thereto, the "Merger Agreement"), pursuant to which Merger Sub will be merged
with and into the Company, with the Company surviving as a wholly-owned
subsidiary of Parent.
The Company expects to close the merger on April 7, 2021 or as soon as possible
thereafter, subject to the satisfaction of any remaining conditions under the
Merger Agreement.
