NCR (NIGERIA) PLC - NOTIFICATION OF RESIGNATION, APPOINTMENT OF A NEW DIRECTOR AND APPOINTMENT OF NEW COUNTRY MANAGER

At the meeting of the Board of Directors of NCR (Nigeria) PLC (the "Company") held by teleconference on Wednesday, 25 October 2023, the Board noted the resignation of Ms. Christiana Yisa, as the Country Manager and Director on the Board of the Company with effect from 17 October 2023.

The Board at the meeting approved the appointment of Mr. Charles Kayode Oloruntoba as the Acting Country Manager with effect from Wednesday, 25 October 2023.

Mr. Charles Kayode Oloruntoba has over 23 years of experience in Leadership, Sales & Marketing and Business Development. Prior to joining the Company, Mr. Oloruntoba was the Regional Director of business Development for West Africa with Software Group (a global Software development/FinTech Company) with its headquarters in Sofia, Bulgaria. He also worked as an Applications Sales Manager with Oracle Corporation, Nigeria.

Mr. Oloruntoba has an MSC. in Agronomy from the Nigeria Premier University Ibadan in 1998 and a Bachelor's Degree from Ahmadu Bello University, Zaria in 1992. He holds Professional Certifications in Oracle Database Associate, CheckPoint Partner Sales, Symantec Endpoint Protection & NetBackup and Microsoft Certificate. In addition, he has attended many corporate courses, Seminars & workshops on various business areas, including Sales Leadership, Project Management, Consultative Selling, Channel Management, Conflict Management and Team Management. He joined the Company with a wealth of experience that cut across several sectors of the economy.

The Board also approved the appointment of Mr. Onyekachi Caleb Chukwueke as an Executive Director of the Company with effect from Wednesday, 25 October 2023, subject to ratification by the Shareholders at the next Annual General Meeting of the Company.

Mr. Chukwueke is a seasoned fellow of the Institute of Chartered Accountants of Nigeria ("ICAN"), with over a decade of rigorous engagement in financial control/risk management, taxation, financial management and reporting. He joined the Company in 2005 as the Chief Internal Auditor and is the current Chief Financial Officer ("CFO") of the Company.

Mr. Chukwueke holds an HND in Accounting from Yaba College of Technology, Lagos, a BSC in Economics from the National Open University of Nigeria and an MBA from the University of Calabar.
