The regular General Meeting of Shareholders of Neochim AD dated 21 June 2023 passed the following resolutions:
- Adoption of the 2022 individual and consolidated activity reports of the managing bodies
- Adoption of the 2022 individual and consolidated annual financial reports of the company
- Adoption of the reports of the registered auditor on the verification of the 2022 individual and consolidated annual financial reports
- Adoption of the report of the Audit Committee on 2022
- Adoption of the report of the Investor Relations Director on 2022
- Adoption of the report on the implementation of the remuneration policy for the members of the managing bodies
- Release from liability of the members of the managing bodies for their activity in 2022
- Election of a registered auditor for 2023
- Election of Audit Committee members for a 5-year term of office
- Allocation of the 2022 profit of BGN 70,174,529.54 as follows:
1) Gross dividend distribution of BGN 12,929,820 in terms of BGN 5.00 per share
Dividend payout starting date: 17 August 2023
2) Allocation of the remaining BGN 57,244,709.54 to the additional reserves of the company
- Determination of variable remuneration to the members of the managing bodies
The right to a dividend will be entitled to all shareholders registered with the central securities register on the 14th day following the GMS date, i.e. by 05 July 2023 (Record Date).
The final date for transacting shares of this company on the Exchange, so the holder be entitled to receive a dividend, will be 03 July 2023 (Ex-Dividend Date: 04 July 2023).
