FINALISATION ANNOUNCEMENT IN RESPECT OF THE DIVIDEND FOR THE SIX MONTHS ENDED 30 JUNE 2021

NEPI Rockcastle shareholders are referred to the announcement published on 19 August 2021 regarding the distribution of 17.64 euro cents per share declared by the board of directors for the six months ended 30 June 2021.

Shareholders holding shares traded on the JSE and A2X will receive their cash dividend in South African Rand converted from Euro at an average exchange rate of EUR1.00:ZAR17.28357, determined over a two day period commencing on Monday, 30 August 2021 and ending on Tuesday, 31 August 2021. Accordingly, the cash dividend of

17.64 euro cents per share will be equal to ZAR3.04882 per share. Shareholders holding shares traded on Euronext Amsterdam will receive the dividend in euros.

Dividend tax (and therefore the information provided in this paragraph) is only of direct application to shareholders holding shares traded on the JSE and A2X. The gross local dividend amount is ZAR3.04882 per share for shareholders exempt from paying South African dividends tax. The net local dividend amount is ZAR2.43906 per share for shareholders liable to pay the dividends tax rate of 20%. The dividend will be paid from the Isle of Man and there is no withholding tax payable in the Isle of Man.

The salient dates and times announced on 19 August 2021 remain unchanged.
