NOBLE ROMAN'S, INC. On June 27, 2023, Noble Roman’s, Inc. issued a press release regarding an update for its upcoming annual meeting of shareholders of the Company to be held on July 6, 2023. The Company stated that it has disqualified the purported nomination by BT Brands, Inc. of Gary Copperud for election to the Company’s Board of Directors at the annual meeting. The Company recently determined, and has notified BT Brands, that BT Brands failed to comply with the requirements of the Company’s by-laws for nominations of director candidates.
The Company added that in particular, according to the records maintained by the Company’s transfer agent, BT Brands was not a shareholder of record of the Company’s common stock at the date it submitted its notice of intent to nominate Gary Copperud or on the record date for shareholders entitled to vote at the meeting.
