Han-Chieh Shih entered into a Purchase of Business Agreement to acquire controlling interest in Xin Feng Construction Co., Ltd. from Nocera, Inc. (NasdaqCM:NCRA) for $0.3 million on November 30, 2022. Subject to the terms and conditions of this Agreement, and in reliance on the representations, warranties, and conditions set out in this Agreement. All of the representations and warranties made by the Purchaser and Seller in this Agreement will be true and accurate in all material respects on the Closing Date, the Purchaser and Seller will obtain or complete all forms, documents, consents, approvals, registrations, declarations, orders, and authorizations from any person or any governmental or public body, required of the Purchaser in connection with the execution of this Agreement. the Seller will provide the Purchaser with complete information concerning the operation of the Corporation.

Nocera, Inc. is a fully integrated sustainable seafood company. The Company provides land-based recirculation aquaculture systems for both fresh and saltwater fish and invests in fish farms by building high-tech recirculation aquaculture systems (RASs). The Companyâs main business operation consists of the design, development, and production of large-scale RASs fish tank systems, (aquaculture) for fish farms, along with consulting, technology transfer, and aquaculture project management services to new and existing aquaculture facilities and operators.
