Reference is made to the offer document dated 17 March 2022 (the "Offer
Document") and subsequent stock exchange announcements, including the settlement
notification on 31 October 2022, for the recommended voluntary offer by SalMar
ASA ("SalMar" or the "Offeror") to acquire all outstanding shares in NTS ASA
("NTS") (the "Offer").

Settlement of the Offer is now completed. For every share in NTS for which the
Offer had been lawfully accepted, the Offeror has paid a consideration
consisting of NOK 26.86482 in cash and 0.143241 newly issued shares in SalMar.
SalMar has issued at total of 9,487,371 new shares as consideration in the
Offer.

In addition, the Offeror has, pursuant to section 4.7 (Consideration) of the
Offer Document, paid interest on the cash portion of the consideration at an
interest rate of 3 month NIBOR + 1.35% per annum calculated from 15 June 2022
until settlement of the Offer, equalling NOK 0.42276 per share. 

Following settlement of the Offer, the Offeror owns 66,235,009 shares in NTS,
equalling approximately 52.69 % of the total outstanding share capital and votes
in NTS, and intends to put forward a mandatory offer for all the remaining
shares in NTS in accordance with chapter 6 of the Norwegian Securities Trading
Act. The Offeror does not own any other voting rights, rights to shares or other
financial instruments in NTS.
