COMUNICADO AO MERCADO

A Nu Holdings Ltd. ("Nu" ou "Companhia") (NYSE: NU | B3: NUBR33), em continuidade ao Fato Relevante divulgado em 15 de setembro de 2022, em relação aos procedimentos para a descontinuidade do Programa de BDRs Nível III, comunica aos seus acionistas e ao mercado em geral que:

1. em reunião realizada em 20 de dezembro de 2022, o Colegiado da CVM autorizou o pedido de adoção de procedimento diferenciado no âmbito dos pedidos de descontinuidade de Programa de BDRs Nível III, Cancelamento de Registro de Emissor Estrangeiro, e Registro de Programa de BDRs Nível I, de forma que foi aprovada a opção de entrega de BDRs Nível I com a mesma composição atual dos BDRs Nível III. Entretanto, tal opção não poderá ser a padrão para detentores de BDRs Nível III que não se manifestem expressamente nesse sentido; e
2. adicionalmente, nos termos do informativo da reunião, o Colegiado observou que o procedimento padrão de eventual alienação dos valores mobiliários, para os investidores que assim escolherem, deve ser o sales facility, com a venda das ações classe A da Companhia listadas na NYSE subjacentes aos BDRs Nível III listados na B3.

A Companhia está (i) aguardando a divulgação do inteiro teor da decisão; e (ii) avaliando os ajustes apropriados no cronograma para a descontinuidade do Programa de BDRs Nível III decorrente da decisão do Colegiado acima mencionada, e comunicará o mercado tão logo os ajustes tenham sido discutidos.

A Companhia manterá o mercado, seus acionistas e os Clientes do Programa NuSócios informados sobre o assunto objeto deste Comunicado ao Mercado, e divulgará oportunamente aos detentores de BDRs o detalhamento dos procedimentos para a descontinuidade do Programa de BDRs Nível III.

NOTICE TO THE MARKET

Grand Cayman, Cayman Islands, December 22, 2022 - Nu Holdings Ltd. ("Nu" or the "Company") (NYSE: NU | B3: NUBR33), in continuation of the Material Fact disclosed on September 15, 2022, in relation to the procedures for the discontinuation of the Level III BDR Program, communicates to its shareholders and the market in general that:

1. at a meeting held on December 20, 2022, the CVM Board authorized the Company's request for the adoption of a differentiated procedure within the scope of: (a) the discontinuation of its Level III BDR Program; (b) the cancellation of the Company's Registration of Foreign Issuer in Brazil; and (c) the registration of the Company's Level I BDR Program at B3. Therefore, the option to deliver Level I BDRs with the existing composition of Level III BDRs was approved. However, such option may not be the default choice for Level III BDR holders who do not state explicitly their intent to do so; and
2. additionally, as per the meeting's informative note, the CVM Board stated that the standard procedure for investors who opt for the sale of their securities should be the sales facility, with the sale of the Company's class A shares listed on the NYSE underlying the Level III BDRs listed on the B3.

The Company is (i) awaiting the disclosure of the full content of the decision; and (ii) evaluating the appropriate adjustments in the schedule for the discontinuation of the Level III BDR Program resulting from the above-mentioned decision of the CVM Board, and will inform the market as soon as the new timetable is defined.

The Company will keep the market, its shareholders and the NuSócios Customer Program informed about the subject of this notice to the market, and will disclose in due course to BDR holders the details of the procedures for the discontinuation of the Level III BDRs Program.
