PROPOSED DISPOSAL OF SHARES BY

A SUBSTANTIAL SHAREHOLDER

This announcement is made by NVC International Holdings Limited (the "Company", together with its subsidiaries, the "Group") pursuant to Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and the Inside Information Provisions (as defined under the Listing Rules) under Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

The Company has noted that Elec-Tech International Co., Ltd.*（安徽德豪潤達電氣股份 有限公司）("ETI"), a substantial shareholder of the Company, has announced its proposed disposal of all shares of the Company held by it on the secondary market (the "Proposed Disposal"). The Proposed Disposal has been approved by the board of directors of ETI but is still subject to the approval of ETI's shareholders at its general meeting. Upon the approval of ETI's shareholders for the Proposed Disposal, ETI plans to dispose all the shares of the Company held by it within three months. As of the date of this announcement, ETI indirectly held 740,346,000 shares of the Company, representing approximately 17.51% of the total issued shares of the Company.
