Ladies and gentlemen!

I would now like to briefly explain the position of the Supervisory Board on today's resolutions, starting with agenda item 1 - the control and profit transfer agreement between OSRAM and ams.

The agreement was diligently prepared by the Managing Board in a process that was completed on September 22. The Supervisory Board has closely followed this process for the last few months. Firstly, we spent several meetings discussing the strategic planning that provided the basis for valuing OSRAM and thus determining compensation (Ausgleichszahlung) and settlement payment (Abfindung) for the shareholders. In particular, the Supervisory Board discussed the assumptions used by the Managing Board for its planning.

The Supervisory Board validated the findings of the planning process on the basis of its own experience and expertise.

At the meeting on September 22, 2020, the present findings of the company valuation were explained by the valuers and the review of these findings by the contract auditor to the Supervisory Board. The Managing Board also explained the other provisions of the agreement and gave detailed reasons justifying its decision to enter into the agreement. The Supervisory Board was supported by independent legal and financial advisors in assessing the adequacy of the presented agreement and the compensation or settlement payment offered to the shareholders. The advisors also confirmed that the agreement had been prepared by the Managing Board with due diligence in a standard process.

Based on these reports and the advice received, the Supervisory Board approves the control and profit transfer agreement. Entering into a contract-based group of affiliated companies will make collaboration with ams easier. It will enable us to realize additional synergies that will unlock opportunities for future growth. There will be greater clarity for customers, suppliers and employees. And the administrative difficulties of managing companies that are part of a de facto group will end. We consider this to be beneficial overall and believe that the compensation/ settlement payment offered is sufficient to protect the interests of the minority shareholders.

The Supervisory Board is therefore recommending that the shareholders approve the control and profit transfer agreement.

And so I come now to the election of the three proposed Supervisory Board candidates:

The resignation of Dr. Busch, Mr. Mittal and Mr. Lakerveld at the end of July created three vacancies for shareholder representatives on the Supervisory Board. As the new majority shareholder, ams proposed Dr. Stockmeier, Mr. Metzler and Mr. Eitner as successors. This will ensure that the shareholder structure is appropriately represented on the Supervisory Board.

The Supervisory Board's Nomination Committee discussed these proposals and concluded that the candidates are suitable for meeting the objectives of the Supervisory Board for its composition. It also established that the candidates will be able to devote sufficient time to their work as members of the Supervisory Board and that there are no obstacles preventing their appointment.

Accordingly, Dr. Stockmeier, Mr. Metzler and Mr. Eitner were appointed by the court as members of the Company's Supervisory Board in July, upon the application of the Managing Board. In accordance with the principles of good corporate governance, the General Meeting today has the opportunity to confirm the appointment of the three gentlemen to the Supervisory Board in a by-election.

Details about the persons of the three candidates, their career histories and other posts held were sent to you with the invitation to today's General Meeting.

I would like to emphasize the many years of experience and the proven expertise in the semiconductor industry of all three gentlemen. The collaboration in the Supervisory Board to date has already shown that this knowledge and experience will be valuable for the work of the Board.
