Expiration of the mandate of Mrs. Daniela Elena Iliescu as administrator as of April 27, 2024

The opinions of the members of the Board of Directors made after assessing the fulfillment of the eligibility conditions:

-Mrs. Daniela Elena Iliescu has over 9 years of experience in banking, in management positions.

-At the same time, he exercises the following mandates at Group level: Member of the Board of Directors of Patria Credit IFN S.A., member of the Board of Directors of SAI Patria Asset Management S.A.

-Starting with April 2016-present, he is the Administrator of Patria Bank S.A. (previously called Banca Comerciala Carpatica S.A.); starting with 01.01.2022 he is also the President of the Risk Management Committee;

-During July 2014 -April 2017 he was Administrator, Chairman of the Audit Committee, Member of the Risk Management Committee - Patria Bank SA (former Nextebank SA).

-Mrs. Iliescu graduated from the Academy of Economic Studies (in 1996). He obtained the qualification of certified accountant at ACCA, and in February 2011 he obtained the Executive MBA degree - Wien University of Economics and Business &Carlson Business School USA.

-Meets the legal criteria regarding the minimum time commitment allocated, the number of mandates in financial and non-financial companies exercised at the same time, independent and critical thinking;

- Mrs. Iliescuhas a relevant theoretical and practical experience, fully aligned with the Bank's activity;

-Mrs.Iliescu has an impeccable reputation:

  • - No negative information about the candidate has been identified, therefore there is no potential reputational risk (public sources used, e.g. Google)

  • - It is not found in the records of databases with information used in the analysis of KYC, AML, CFT activity, international sanctions lists and publicly exposed persons (Dow Jones Factiva lists), as well as in the ML/FT risk database used by the Bank

  • - -Absence of criminal convictions, investigations, civil and administrative trials and disciplinary actions

  • - No investigations, enforcement procedures or sanctions applied by a supervisory authority;

  • - No refusal of authorization by an authority or no withdrawal of authorization

  • - Situations of possible conflict have been declared transparently, the member has complied with the provisions of internal regulations on the management of conflicts of interest

The opinions of the members of the Board of Directors made after assessing the fulfillment of the eligibility conditions:

-Mr. Horia Dragos Manda has over 14 years of experience in banking, in management positions.

-Starting with April 2016-present, he is the Administrator of Patria Bank S.A. and President of the Board of Directors (previously called Banca Comerciala Carpatica S.A.);

-Between July 2014 and April 2017 he was Administrator, Chairman of the Board of Directors of Patria Bank S.A. (previously called Nextebank S.A.), and member of the Audit Committee and of the Risk Management Committee;

-Since May 2006 until now he holds the position of Administrator and General Manager - Axxess Capital Partners SA,

-Mr. Manda graduated the University of Bucharest, Faculty of Physics, holding a PhD in mathematics from the University of Paris VII-France (1993), an MBA (summa laude) through the Romanian-Canadian MBA Program (McGill, University of Quebec - Montreal, ASE Bucharest, 1996) and a M.Sc. in Theoretical Physics from the University of Bucharest (1984).

-Meets the legal criteria regarding the minimum time commitment allocated, the number of mandates in financial and non-financial companies exercised at the same time, independent and critical thinking;

-Mr. Bogdan Merfea has over 20 years of experience in banking, in various management positions.

-At the same time, he exercises the following mandates at Group level: Member of the Board of Directors of Patria Credit IFN S.A., President of the Board of Directors.

-Starting with April 2016-present, he is the Administrator of Patria Bank S.A. (previously called Banca Comerciala Carpatica S.A.); starting April 2019, he is also a member of the Audit Committee;

-Mr. Merfea graduated Transilvania University of Brasov - Faculty of Machine Building Technology, is a PhD in Mechanical Engineering and graduated a Master in Business Management, also attending courses at the prestigious INSEAD school, IMD Laussane, Harvard, Wharton University.

Engineer by training, Mr. Merfea has academic experience, activating between 1984-1999 as university professor PhD Engineer, associate professor and lecturer, assistant professor and researcher at the Department of Machine Building Technology.
