Announcement of Establishment of Voluntary Remuneration Committee

Perseus Proteomics Inc. (HQ: Meguro-ku, Tokyo, President & CEO: Takuya Yokokawa) hereby announces that the Company has resolved to establish the voluntary Remuneration Committee at the Board of Directors' Meeting held today.

• 1. Purpose of the establishment

  The Remuneration Committee shall be established to enhance independence, objectivity, and accountability of the Board of Directors related to remuneration of Directors who are not audit and supervisory committee members.

• 2. Role of the Remuneration Committee

  The Remuneration Committee shall make reports or proposal to the Board of Directors after examining the policy for determination of remuneration of Directors who are not audit and supervisory committee members, respective remuneration, and others.

• 3. Members of the Remuneration Committee

  The Remuneration Committee shall consist of three or more committee members elected by the resolution of the Board of Directors. More than half of the committee members shall be independent outside Directors.
