Report topic:Conclusion of a contract for the provision of medical services to Polish Security Printing Works
Report content:The Board of Directors of POLMED S.A. with its registered office in Starogard Gdański makes public that on October 27, 2015 the contract for the provision of medical services was concluded between POLMED SA and Polish Security Printing Works with its registered office in Warsaw (hereinafter: PWPW). The estimated total value of the contract is PLN 6,450,000 (six million four hundred and fifty thousand Polish zlotys).
The object of the abovementioned contract is to provide by POLMED S.A. comprehensive medical services to the employees of PWPW and services in the field of occupational medicine. Moreover, the contract sets out an offer for subscription fees for medical services for family members of PWPW employees and their family members.
Hospital treatment under the contract will be carried out in such a way that POLMED SA on the basis of this contract on behalf and for the account of the Customer, but in its own name as the policyholder, will conclude a proper insurance policy for the insured group with Signal Iduna Polska TU S.A. with its registered office in Warsaw.
The contract was concluded for a period of 48 months and it shall enter into force on 1 January 2016. After this period, the contract is valid indefinitely, unless either of the Party - no later than three months before the expiry of that period - submits a written statement about the lack of will to continue the cooperation. Following the renewal of the contracts for an indefinite period, each Party shall have the right to terminate it at the end of the calendar month with a 3-month notice period.
PWPW shall pay POLMED S.A. remuneration for the provision of services calculated by multiplying the number of eligible persons that POLMED S.A. was required to provide medical services in a given month and the subscription fee specified by the contract for a selected package of medical services. PWPW is also required to pay additional compensation
for examination of employees and examinations of candidates for PWPW employees. Moreover, POLMED S.A. guaranteed that the remuneration specified in the contract would not change during the period of 48 months from the date of its signature.
The Board of Directors of POLMED SA estimates the total value of remuneration under the contract for the entire period of its validity at PLN 6,450,000, i.e., the sum of revenues from medical services provided to the expected number of employees covered by the insurance, along with the estimated revenues from additional services in the form of subscriptions for medical services for PWPW employees and members of their families.
Other provisions of the Contract shall not differ from those commonly used for this type of contracts.
The criterion for admission that the contract is significant is the fact that its value exceeds 10% of the equity of the Issuer.
