PT. Kimia Farma Tbk. (JKSE:KAEF) agreed to acquire Pt Indofarma Persero Tbk (JKSE:INAF) from Republic of Indonesia, DBS Vickers (Hong Kong) Limited and others for approximately IDR 420 billion in stock on June 6, 2012. PT. Kimia Farma will issue its shares 961.84 million shares to acquire 3.1 billion shares of Pt Indofarma Persero. Shareholder composition in Kimia Farma will change, with the Republic of Indonesia owning 88.64% shares, and public shares of 11.36%. Before the acquisition, Republic of Indonesia controls 90.0% shares, while public controls 9.97% shares. The transaction is subject to approval of government regulator and has been approved by the House of Representatives.
