On December 31, 2022, Dale A. Westwood, Executive Vice President, Chief Retail Officer of QNB Bank, the registrant's wholly owned subsidiary (the "Bank"), retired. Ms. Westwood's retirement was not a result of any disagreement on any matter relating to the registrant's operations, policies or practices.
