Communication in accordance with Article 15 of the Belgian Act of 2 May 2007 on disclosure of major shareholdings

DISCLOSURE OF OUTSTANDING VOTING SECURITIES

Wetteren, Belgium - 17 May 2017, 5.45PM

Resilux NV ("Resilux") (Euronext Brussels: RES), announces today that - pursuant to the exercise of warrants under Warrant Plan 2013 - 44,450 new shares were issued, as recorded by notarial deed dated 16 May 2017.

In accordance with Article 15 of the Belgian Act of 2 May 2007 on disclosure of major shareholdings in issuers shares of which are admitted to trading on a regulated marked and laying down miscellaneous provisions (the "Act of 2 May 2007"), the status of Resilux' share capital and outstanding voting securities can be summarised as follows:

• Total amount of outstanding share capital: € 17,569,682.00

• Total number of outstanding voting securities: 2,024,860

• Total number of outstanding voting rights ("denominator"): 2,024,860

• Total number of voting securities that can still be issued: 0

Pursuant to the Act of 2 May 2007 and the articles of association of Resilux, a notification to Resilux and to the Belgian Financial Services and Markets Authority (FSMA) is required by the holders of voting rights in Resilux in each case where the percentage of voting rights in Resilux held by such holders reaches, exceeds or falls below the threshold of 3%, 5% and every subsequent multiple of 5%, of the total number of voting rights in Resilux.
