NOTICE TO THE MARKET Results of the Auction of Unsubscribed Shares and Conclusion of Capital Increase São Paulo, January 31, 2013. Rossi Residencial S.A. (BM&FBOVESPA:RSID3) ("Company"), in accordance with the Notice to Shareholders and Notice to the Market published on November 16, 2012 and January 29, 2013, respectively, announces to shareholders and the general market the following:

On January 31, 2013, a special auction was held at the BM&FBOVESPA S.A.- Securities, Commodities and Futures Exchange, for subscribing to the unsubscribed shares resulting from the Company's capital increase.A total of 97,768 unsubscribed shares were sold at the price of R$ 4.18 per share, for a total amount of R$ 408,670.24.
The Board of Directors ratified the capital increase at a meeting held on this date.
As a result of the capital increase, 150,000,000 shares were fully subscribed to and the capital stock increased by R$ 600,000,000.00, from R$ 2,033,562,618.86 to R$ 2,633,562,618.86, represented by 426,756,464 common shares. The additional sum raised by the company through the auction of unsubscribed shares, amounting to R$ 17,598.24, and which exceeds the part of the issue price of the shares allotted to capital stock, will be recorded in capital reserve as 'share subscription premium'.
The shares issued will be credited by Banco Bradesco S.A. and will be traded on BM&FBOVESPA
as of February 4, 2013
