SHAREHOLDERS' MEETING OF 29TH APRIL 2014: NOMINATION FOR THE APPOINTMENT OF A DIRECTOR

With reference to the next shareholders' meeting which has been called for 29th April 2014, during which, among other matters, a resolution for the appointment of a company director will be proposed, it is hereby made publicly known that on the date hereof, shareholder Giuseppe Saleri S.a.p.A., the company holding

5,850,003 shares representing 50.72% of the share capital of Sabaf S.p.A., presented the nomination of Maria Chiara Franceschetti (engineer) as a candidate for the appointment. In addition to the nomination, the company also received Mrs Franceschetti's declaration indicating her willingness to accept the appointment and attesting to be independent for the purpose of and as provided by the Italian Consolidated Finance Act (Testo Unico della Finanza - "TUF") and the Self-Regulation Code.

Mrs Franceschetti is already a Company Director of Sabaf S.p.A., inasmuch as she was co-opted by the Board of Directors during the Board Meeting of 8th May 2013 to substitute Prof. Gregorio Gitti who had resigned; her term of office expires as of the next shareholders' meeting.
