DELAY IN DESPATCH OF ANNUAL REPORT

RESUMPTION OF TRADING

Reference is made to the announcement of Shanghai Zendai Property Limited (the "Company") dated 31 March 2021 in relation to, among other matters, the delay in publication of the announcement in relation to the audited results of the Company and its subsidiaries for the year ended 31 December 2020 (the "2020 Annual Results Announcement") and the suspension in the trading in the shares of the Company ("Shares") on The Stock Exchange of Hong Kong Limited ("Stock Exchange") with effect from 9:00 a.m. on 1 April 2021 until the publication of the 2020 Annual Results Announcement in accordance with Rule

13.50 of the Rules Governing the Listing of Securities on the Stock Exchange (the "Listing Rules") and the 2020 Annual Results Announcement of the Company dated 30 April 2021.

In the light of the publication of the 2020 Annual Results Announcement, application has been made to the Stock Exchange for the resumption of the trading in the Shares with effect from 9:00 a.m. on 3 May 2021.

DELAY IN DESPATCH OF ANNUAL REPORT

Pursuant to Rule 13.46(2)(a) of the Listing Rules, the Company is required to send the annual report for the year ended 31 December 2020 (the "2020 Annual Report") to its shareholders (the "Shareholders") not later than four months after the date upon which the financial period ended, that is, on or before 30 April 2021. As a result of the delay in the publication of the 2020 Annual Results Announcement, the despatch of the 2020 Annual Report will be delayed in order to allow sufficient time for the Company to prepare and finalize the information for inclusion in the 2020 Annual Report and to arrange for bulk printing. The delay in the despatch of the 2020 Annual Report by the Company will constitute a non-compliance with Rule 13.46(2)(a) of the Listing Rules.

The Company is currently working towards finalising the 2020 Annual Report for publication and it is anticipated that the 2020 Annual Report will be despatched on or around 14 May 2021.
