Through a non-public offer, instead of allocating to one or more strategic partners, according to the following details: Allocating part of the capital increase to the shareholder, Messrs Aswaq Investments Company in the amount of 2,470,588 shares, and the nominal value of each share is one Jordanian dinar with a share premium. - Allocating a portion of the capital increase to the shareholder, Mr. Majdi Kazem Al-Sharif (the company's executive director), in the amount of 82,353 shares. The nominal value of each share is one Jordanian dinar with a share premium. Second: Approval of the allocation of the above shares to related parties: the shareholder, Messrs. Aswaaq Investment Company, and the shareholder, CEO of the company, Mr. Majdi Kazem Al-Sharif, in accordance with the governance instructions of listed joint-stock companies for the year 2017. Fourth: Postponing the decision on how to cover the remaining part of the capital increase, amounting to 2.147.059 Jordanian dinars provided that this is done by a general assembly resolution and within the specified legal period. Fifth: In the event that the allocation process mentioned in Clause Second above is not completed, the relevant portion of the increase amount will be covered through the public offer to the company's shareholders, and all necessary decisions and approvals duly obtained and within the specified legal period.
