("Smiles" or "Company") (B3: SMLS3), pursuant to the provisions of Normative Instruction No. 358, of January 3rd, 2002, of the Brazilian Securities and Exchange Commission, as amended, hereby informs its shareholders and the market in general that its general shareholders' meeting that would took place today was not instated due to the lack of the necessary quorum.

Smiles will opportunely take the necessary measures to carry out the second call to the general shareholders' meeting.
