SNAI : Deed of merger by incorporation and relocation of the registered offices

PRESS RELEASE

(pursuant to art. 114 of Legislative Decree 58/98)

Deed of merger by way of incorporation into SNAI of subsidiaries Cogemat, Cogetech, Cogetech Gaming and Azzurro Gaming Relocation of registered offices to the municipality of Milan Milano, 18 October 2016 - Following the press releases dated April 26 and June 9, 2016 the deed of merger by way of incorporation into SNAI S.p.A. ("SNAI" or the "Company" or the "Issuer") of the direct or indirect subsidiaries Cogemat S.p.A., Cogetech S.p.A., Cogetech Gaming S.r.l. and Azzurro Gaming S.p.A. was signed today.

Once the merger deed has been filed with the Companies Register, the merger will be finalized and will take effect from November 1, 2016, with accounting and tax effects taking effect retroactively from January 1, 2016, without triggering capital increases by the Issuer or changes to its by-laws.

In addition to the above, SNAI's Board of Directors in accordance with article 15 of its by-laws and pursuant to article 2365(ii) of the Civil Code, has resolved on the relocation of the registered offices from the current address in Via Luigi Boccherini 39, Porcari (Lucca) to Milan in Piazza della Repubblica, 32.

This decision - which is aimed at streamlining the management efficiency and the organization of the group, allowing the Company to benefit from increased market opportunities also given the status of listed company, as well as a more attractive financial center, better reorganizing (also logistically) the business - shall take effect on the date of the above-mentioned merger.

The resolution and the new wording of the by-laws shall be filed with the Companies Register within the term provided for by article 2436 Civil Code. They will also be made public and circulated to CONSOB and Borsa Italiana S.p.A. in accordance with applicable law and regulations.
