On April 12, 2021, Spectrum Brands Holdings, Inc. appointed Mr. Leslie Campbell and Ms. Joan Chow, each an independent, to the company's Board of Directors (the Board"). Concurrently with these appointments, Mr. Norman S. Matthews resigned his position as a director of the company in order to pursue other opportunities and not because of any disagreement with the company on matters relating to its operations, policies or practices.
