QGold Pty Ltd made an offer to acquire remaining 30.85% stake in Strategic Minerals Corporation NL (ASX:SMC) for AUD 8.7 million on December 4, 2017. QGold Pty Ltd will acquire 21.74 million shares at AUD 0.40 per share in cash. QGold Pty Ltd intends to carry out compulsory acquisition for shares of Strategic Minerals Corporation NL in case the shareholding of QGold is more than 90%. At the conclusion of compulsory acquisition, QGold intends to delist Strategic Minerals Corporation. If the stake of Qgold is less than 90% after the completion of the transaction, QGold will apply to ASX for the removal of Strategic Minerals Corporation from the official list of ASX. There is no intention to compulsorily acquire any options unless it is required to do so by law. As of January 4, 2018, Veronica Oma filed an application seeking interim orders preventing further sale of Strategic Minerals Corporation NL shares until the information deficiencies are rectified. On February 15, 2018, the panel declares that the circumstances constitute unacceptable circumstances in relation to the affairs of Strategic Minerals Corporation and on March 2, 2018, the final orders of panel took effect, QGold and Strategic Minerals Corporation will provide the list of “Eligible Shareholders”( being persons who sold share between the date of Takeover Bid was announced and date of issue of targets statement. QGold and Strategic Minerals Corporation will pay the cost to Veronica Oma. QGold Pty Ltd intends to fund the consideration payable for the offer using advances from its sole director, Christopher Wallin. QGold will re-constitute the Board of Directors of Strategic Minerals Corporation with QGold nominees on the Board after the completion. The offer is not subject to any conditions. On December 5, 2017, shareholders of Strategic Minerals Corporation NL are recommended to take no action. On December 18, 2017, the target statement has been filled. On December 8, 2017, Strategic Minerals Corporation formed a takeover response committee com of Jay Stephenson. The Independent Directors of Strategic Minerals Corporation NL recommended shareholders to accept the offer. Stantons International Securities Pty Ltd considers the offer as fair and reasonable for shareholders of Strategic Minerals Corporation NL. The offer period will commence from December 19, 2017 and will end on March 30, 2018. The offer period may be extended and the offer price may be increased or the offer withdrawn in accordance with the Corporations Act. As of May 31, 2018, Strategic Minerals Corporation NL issued supplementary target statement. The independent Directors along with Stantons International Securities Pty Ltd independent expert, recommended the shareholders to reject the offer because offer is not fair. As of March 16, 2018, the closing date of the offer has been extended to June 29, 2018. QGold Pty Ltd completed the acquisition of an additional 17.6% stake in Strategic Minerals Corporation NL (ASX:SMC) for AUD 5 million on June 29, 2018. Under the terms, 12.4 million shares were tendered and QGold Pty Ltd's stake increased from 19.2% to 86.8%.
