COMPLETION OF SUBSCRIPTION AND ISSUE OF NEW

SHARES UNDER THE GENERAL MANDATE

Reference is made to the announcements of Summi (Group) Holdings Limited (the "Company") dated 23 March 2021 and 14 April 2021 in relation to subscription of new shares under general mandate (the "Announcements"). Capitalised terms used herein shall have the same meanings as those defined in the Announcements, unless the context requires otherwise.

COMPLETION OF SUBSCRIPTION

The Board is pleased to announce that the conditions precedent of the Subscription Agreements have been fulfilled and completion of the Subscription took place on 30 April 2021. The Subscription Shares, i.e., in aggregate 269,000,000 new Shares, were allotted and issued to the Subscribers at the Subscription Price of HK$0.12 per Subscription Share pursuant to the terms and conditions of the Subscription Agreements.
