We have to inform you that the Board of Directors of Suraj Cotton Mills Limited (SURC) in their meeting held on May 30, 2023 at 03:00 pm, at Lahore, recommended the following:
To increase the Authorized share capital of the company from Rs. 500,000,000 divided into 50,000,000 ordinary shares of Rs. 10/- each to Rs. 7,500,000,000 divided into 750,000,000 ordinary shares of Rs. 10/- each by addition of 700,000,000 ordinary shares of Rs. 10/- each.
Clause V of the Memorandum of Association and Clause 5 of Articles of Association of the company be altered by substituting the figures and words Rs. 500,000,000 (Rupees Five Hundred Thousand million) and 50,000,000 with the figures and words Rs. 7,500,000,000 (Rupees Seven Billion Five Hundred Million) and 750,000,000, respectively.
The company secretary and Chief Executive Officer of the company be and are hereby authorized to complete all legal and corporate formalities in connection with the above.
An Extraordinary General Meeting (EOGM) of the Members of the company will be held on Thursday June 22, 2023 at 12:00 p.m at 7-B-III, Marina Homes, Aziz Avenue, Gulberg-V, Lahore The notice of EOGM will be sent separately.
The share transfer books of the company will remain close from June 15, 2023 to June 22, 2023 both days inclusive. Transfer received by the Share Registrar of the Company, M/s Corptec Associates (Private) Ltd, 503-E, Johar Town Lahore up to June 14, 2023 will be considered in time for the purpose of attendance at EOGM.

The Company produces a range of stretches, satins, stripes, twills, drills, percale, cords, ripstop, herring bone and dobby.
