Tay Two Co., Ltd. (JASDAQ:7610) signed a share transfer agreement to acquire Yamatoku Co., Ltd./Kimono International Co., Ltd. from Hisashi Tokumoto on May 18, 2020. Under the term, Tay Two will acquire 200 shares of Yamatoku and 100 shares of Kimono International. Post completion, Yamatoku Co., Ltd./Kimono International Co., Ltd. will operate as a subsidiary of Tay Two. As of December 31, 2019, Yamatoku Co., Ltd./Kimono International Co., Ltd reported net assets of ¥18.95 million, total assets of ¥32.73 million, sales of ¥166.38 million, negative EBIT of ¥0.49 million and net loss of ¥4.44 million. The transaction was resolved by the board of directors of Tay Two on May 18, 2020. The transaction is expected to close on June 1, 2020. Michihiro Nishi and Masafumi Shikakura of Clifford Chance Law Office acted as legal advisor to Yamatoku Co., Ltd.
