Tessellis S.p.A. ("Tessellis" or the "Company"), listed on the MTA of Borsa Italiana S.p.A., follows the announcement of February 3rd, 2023 regarding the resignation of Dr. Alberto Trondoli and Dr. Cristina Procopio as directors of the Company, to announce that the Board of Directors, which met today, has co-opted, upon the proposal of the nominations and remuneration committee, Mr. Andrew Holt and Mr. Jeffrey Libshutz as non-executive directors.

The Board of Directors, also at today's meeting, verified that both Mr. Holt and Mr Libshutz have all the necessary requirements for holding office .

Andrew Holt has 20 years' experience in the investment industry, having worked in major investment funds of international standing such as Ramius Capital Group (a large multi- strategy fund, later merged with the Cowen Group), Calder Group Holdings Ltd and ArmaVir Partners LLC. He currently serves as Senior Vice President of the Jefferies Financial Group fund, in the Merchant Banking division responsible for managing a complex and important portfolio of investments in companies and assets, both public and private. He sits on the board of directors of OpNet S.p.A. (majority shareholder of Tessellis S.p.A.) and Tiscali Italia S.p.A., also serving as chairman in the latter.

Jeffrey Libshutz has 25 years of experience advising and investing in telecommunications and technology companies. He is currently Managing Partner of ArmaVir Partners LLC, a private equity firm that makes direct equity investments in small and mid-sized operating companies. As part of ArmaVir, he co-founded Simple Broadband LLC (a telecommunications-focused investment company that is working to expand fiber network coverage to underserved regions of the United States).

Prior to ArmaVir, Libshutz was managing director and portfolio manager of the private sector of the Ramius Group, managing director, director, and co-founder of LLJ Capital, and co-founder of Saturn Venture Partners (a venture capital fund formed in partnership with Telecom Italia and Ramius). Libshutz has been a director of several companies and currently serves on the boards of OpNet S.p.A., All Points Broadband and Phoenix Tower Italy.

The new directors will serve until the next General Assembly Meeting.

Mr. Libshutz and Mr. Holt, as of today, do not appear to directly hold shares in Tessellis SpA.
