MAJOR TRANSACTION IN RELATION TO THE ESTABLISHMENT OF A

COAL-TO-GAS CONVERSION INVESTMENT FUND

DELAY IN DESPATCH OF CIRCULAR

Reference is made to the announcement (the "Announcement") of China Tian Lun Gas Holdings Limited (the "Company") dated 27 June 2018 in relation to the major transaction involving the establishment of the Fund under the Partnership Agreement. Unless otherwise specified, all capitalised terms used herein shall have the same meanings as those defined in the Announcement.

As disclosed in the Announcement, a circular (the "Circular") containing, among others, further information on the Transaction will be despatched to shareholders on or before 18 July 2018.

As the Company requires additional time to prepare and finalise, among others, the information for inclusion in the circular, the date of despatch of the Circular is expected to be postponed to a date falling on or before 10 August 2018.
