Proposal for the Point One of the Agenda for the Extraordinary General Meeting of
TOYOTA CAETANO PORTUGAL, S.A., 25th July 2023
The Board of Directors is honored to propose, for the appreciation of the Shareholders, the issuance of a bond loan, with a global nominal value of € 15.000.000,00, represented by 150 book-entry, nominative bonds, with a nominal unit value of € 100.000,00, for a period of 5 years, at the rate applicable as follows:
€7.500.000,00 at the variable rate corresponding to the 6-month Euribor, plus 1,15%, in which the capital payment will be made in full at the end of the term and the interest will be paid semi- annually and in arrears, which will be placed by private subscription and direct, this loan being denominated "Toyota Caetano Portugal 2023 - 2028 - VARIABLE RATE."
€ 7.500.000,00 at the fixed rate corresponding to the fixed index, in which the capital payment will be made in full at the end of the term and the interest will be paid semi-annually and in arrears, which will be placed by private and direct subscription, this loan being denominated "Toyota Caetano Portugal 2023 - 2028 - FIXED RATE."
