Renúncia e eleição de membros do Conselho de Administração

Joinville, 25 de agosto de 2023 - A Tupy S.A. ("Companhia", B3: TUPY3), comunica aos seus acionistas e ao mercado em geral que a Companhia tomou conhecimento, nesta data, da renúncia da Sra. Carla Gaspar Primavera e do Sr. Fabio Rego Ribeiro aos cargos de membros do Conselho de Administração.

Diante da indicação de candidatos para preencher as vagas em aberto no Conselho de Administração feita pela acionista da Companhia BNDES Participações S.A. - BNDESPAR, após verificação da aderência dos referidos candidatos aos critérios presentes na Política de Indicação de Membros do Conselho de Administração da Companhia, bem como do enquadramento aos critérios de independência do Regulamento do Novo Mercado e do Estatuto Social da Tupy, o Conselho de Administração elegeu, nos termos do Artigo 150 da Lei nº 6.404 de 15 de dezembro de 1976 (Lei das S.A.) e do Artigo 31 do Estatuto Social da Companhia, a Sra. ANIELLE FRANCISCO DA SILVA, brasileira, casada, professora, inscrita no Cadastro de Pessoas Físicas do Ministério da Economia (CPF/MF) sob nº 105.381.567-08 e portadora do Documento de Identidade RG nº 109.463.273 DETRAN-DF e o Sr. CARLOS ROBERTO LUPI, brasileiro, solteiro, professor, inscrito no Cadastro de Pessoas Físicas do Ministério da Economia (CPF/MF) sob nº 434.259.097-20 e portador do Documento Carteira de Identidade RG nº 036289023/IFP-RJ, para comporem o Conselho de Administração da Companhia até a data da primeira Assembleia Geral que se realizar.

A Sra. Anielle é educadora, bacharel em Jornalismo e inglês pela Universidade Central de Carolina do Norte e bacharel-licenciada em inglês pela Universidade do Estado do Rio de Janeiro. Mestre em relações étnico-raciais (CEFET/RJ) e doutoranda em linguística aplicada (UFRJ). Foi bolsista nos Estados Unidos, passando por diversas escolas como a Navarro College, no Texas, North Carolina Central University e a Florida A&M University. Anielle também foi fellow da Ford Foundation e da Open Society Foundation. Foi conselheira de organizações da sociedade civil como Instituto Peregum, Mulheres Negras Decidem, Datalab e auxiliou na criação da Casa Sueli Carneiro. Foi uma das únicas brasileiras selecionadas como Impressive Global Leader pelo Strength and Solidarity Symposium e, em 2023, foi eleita como Mulher do Ano pela revista Time, sendo a única brasileira a compor a lista. É a atual Ministra da Igualdade Racial do Brasil.

O Sr. Carlos Lupi é formado em Administração com licenciatura plena em Administração, Economia e Contabilidade, pela Faculdade do Centro Educacional de Niterói. Foi Secretário Municipal de Transporte do Rio de Janeiro e atualmente, tendo sido também Ministro do Trabalho e Emprego. É membro do Conselho Fiscal do SESC e foi membro do Conselho de Administração do BNDES, presidente do Conselho Nacional da Previdência Social - CNPS, presidente do Fundo de Amparo ao Trabalhador - FAT, presidente do Conselho Curador do FGTS, coordenador-geral das Relações Administrativas Sul da Prefeitura do Rio de Janeiro e, como Deputado Federal, foi titular da Comissão de Educação, Cultura e Desporto. Atualmente é Ministro da Previdência Social.

Os Conselheiros ora eleitos tomarão posse nos seus cargos mediante assinatura dos respectivos termos de posse, lavrados no Livro de Registro de Atas de Reuniões do Conselho de Administração, e apresentação de declaração de desimpedimento, nos termos da legislação aplicável.

A Companhia e o Conselho de Administração agradecem à Sra. Carla Primavera e ao Sr. Fabio Rego Ribeiro pelos serviços prestados enquanto conselheiros e coordenadora e membro do Comitê de Estratégia, Inovação e Sustentabilidade e do Comitê de Pessoas, Cultura e Governança, respectivamente.

Resignation and election of members of the Board of Directors

Joinville, August 25th, 2023 - Tupy S.A. ("Company", B3: TUPY3) hereby informs its shareholders and the market in general that the Company has taken note, on this date, of the resignation of Mrs. Carla Gaspar Primavera and Mr. Fabio Rego Ribeiro from the positions of members of the Board of Directors.

In light of the nomination of candidates to fill the vacancies on the Board of Directors made by the shareholder of the Company BNDES Participações S.A. - BNDESPAR, after verifying the adherence of said candidates to the criteria present in the Policy for Nomination of Members of the Board of Directors of the Company, as well as the compliance with the independence criteria of the Novo Mercado Regulation and Tupy's Bylaws, the Board of Directors elected, pursuant to Article 150 of Law No. 6,404 of December 15, 1976 (Corporate Law) and Article 31 of the Company's Bylaws, Ms. ANIELLE FRANCISCO DA SILVA, Brazilian, married, teacher, enrolled in the Individual Taxpayer Registry of the Ministry of Economy (CPF/MF) under No. 105.381.567-08 and bearer of Identity Card No. 109.463.273 DETRAN-DF and Mr. CARLOS ROBERTO LUPI, Brazilian, single, professor, enrolled in the Individual Taxpayer Registry of the Ministry of Economy (CPF/MF) under No. 434.259.097-20 and bearer of Identity Card Document RG No. 036289023/IFP-RJ, to join the Company's Board of Directors until the date of the first General Meeting to be held.

Ms. Anielle is an educator, with a bachelor's in journalism and english from the Central University of North Carolina and a bachelor-licensee in english from the State University of Rio de Janeiro. Master in ethnic-racial relations (CEFET/RJ) and doctoral student in applied linguistics (UFRJ). She was a scholarship holder in the United States, going through several schools such as Navarro College, in Texas, North Carolina Central University and Florida A&M University. Anielle was also a fellow of the Ford Foundation and the Open Society Foundation. She was an adviser to civil society organizations such as Instituto Peregum, Mulheres Negras Decidem, Datalab and helped create Casa Sueli Carneiro. She was one of the only Brazilians selected as an Impressive Global Leader by the Strength and Solidarity Symposium and, in 2023, was elected Woman of the Year by Time magazine, being the only Brazilian to make the list. She is the current Minister of Racial Equality in Brazil.

Mr. Carlos Lupi holds a degree in Business Administration with a full degree in Business Administration, Economics and Accounting from the Faculty of Centro Educacional de Niterói. He was Municipal Secretary of Transport in Rio de Janeiro and having also been Minister of Labor and Employment. He is a member of the Fiscal Council of SESC and was a member of the Board of Directors of BNDES, president of the National Social Security Council - CNPS, president of the Fundo de Amparo ao Trabalhador - FAT, president of the FGTS Board of Trustees, general coordinator of Administrative Relations South of the City Hall of Rio de Janeiro and, as a Federal Deputy, he was head of the Education, Culture and Sports Commission. Currently he is Minister of Social Security in Brazil.

The Directors elected herein will take office by signing the respective terms of office, drawn up in the Book of Record of Minutes of Meetings of the Board of Directors, and presentation of a declaration of non-disqualification, under the terms of the applicable legislation.
