Reference is made to the Annual General Meeting of Shareholders for the year 2021 of U City Public Company Limited (the "Company") held on Wednesday 31 March 2021 has resolved to approve the disposal of 4 plots of land and building of MAK8 Co., Ltd. ("MAK8") located in Tambon Mu Si, Amphoe Pak Chong, Nakhon Ratchasima Province, totaling 16 rai, 1 ngan, and 56 square wa, at a total purchase price of not less than Baht 100,000,000. ("MAK8 Asset Disposal Transaction").

The Company would like to inform you that on this day (14 June 2022), the Company has successfully disposed MAK8's asset to (1) Mr. Julpong Jarurojana ( 2) Ms. Piyanat Prombundachok (3) Ms. Poonyapa Thiensiripipat (4) Mr. Nikorn Tembunnak and (5) Ms. Suppaluck Sripirom (together be referred to as the "Purchasers") with the purchase price of Baht 100,000,000 under the terms and conditions as approved by the Annual General Meeting of Shareholders for the year 2021.

The Purchasers do not have any relationship with the Company. This transaction, therefore, is not considered a connected transaction under the Notification of the Capital Market Supervisory Board No. TorChor. 21/2551 Re: Rules on Connected Transactions and the Notification of the Board of Governors of the Stock Exchange of Thailand Re: Disclosure of Information and Other Acts of Listed Companies Concerning the Connected Transactions B.E. 2546 (as amended).
