Submission of Matters to a Vote of Security Holders
The 2023 Annual Meeting of Stockholders (the "Annual Meeting") of Varex Imaging Corporation (the "Company") was held on February 9, 2023. At the Annual Meeting, a total of 37,183,831 shares of Company common stock, representing approximately 93% of the shares outstanding and eligible to vote and constituting a quorum, were represented in person or by valid proxies. The final results for the votes of the Annual Meeting regarding each proposal voted on at the Annual Meeting are set forth in the following tables. Each of these proposals is described in detail in the Company's proxy statement on Schedule 14A filed with the Securities and Exchange Commission on December 28, 2022 (the "Proxy Statement").

Varex Imaging Corporation is a designer and manufacturer of X-ray tubes, digital detectors and other image processing solutions. The Company operates through two segments: Medical and Industrial. The Medical segment designs, manufactures, sells and services X-ray imaging components, including X-ray tubes, digital detectors, ionization chambers and buckys, high voltage connectors, image-processing software and workstations, three-dimensional (3D) reconstruction software, computer-aided diagnostic software, collimators, automatic exposure control devices, generators, and heat exchangers. These components are used in a range of medical imaging applications. The Industrial segment designs, develops, manufactures, sells and services X-ray imaging products for use in a number of markets, including security applications for cargo screening at ports and borders and baggage screening at airports, and nondestructive testing, irradiation and inspection applications used in various other markets.
