Extra­or­di­nary Gene­ral Mee­ting of Von Roll Hol­ding AG: All pro­po­sals of the Board of Direc­tors approved

As plan­ned, the extra­or­di­nary Gene­ral Mee­ting of Von Roll Hol­ding AG took place on Sep­tem­ber 13, 2023 at 10.30 a.m. at the Head­quar­ters of the com­pany in Brei­ten­bach (Switz­er­land). All pro­po­sals pre­sen­ted by the Board of Direc­tors were appro­ved by a large majo­rity of the shareholders.

With effect from the clo­sing of the share purchase agree­ment bet­ween the major share­hol­ders, the von Finck family, and Elan­tas GmbH of August 11, 2023, or the first clo­sing of the public ten­der offer of Elan­tas GmbH of Sep­tem­ber 8, 2023 (whiche­ver is ear­lier), and sub­ject to such clo­sing, Dr. Peter Kalant­zis, Ger­hard Bruck­meier and August von Finck resi­gned from their func­tions and Ravin­dra Kumar, Anto­nio Nastasi, Hol­ger Wie­bel­haus and Jan Bir were then newly elec­ted to the Board of Direc­tors, wher­eby Ravin­dra Kumar was also elec­ted as Chair­man and tog­e­ther with Anto­nio Nastasi to the Com­pen­sa­tion Com­mit­tee. Effec­tive upon and sub­ject to the afo­re­men­tio­ned clo­sing, the delis­ting of the share from the SIX Swiss Exchange was appro­ved by the Gene­ral Mee­ting and the Board of Direc­tors is aut­ho­ri­zed to exe­cute such reso­lu­tion or delisting.

The mem­bers of the Board of Direc­tors and the Exe­cu­tive Com­mit­tee were dischar­ged from lia­bi­lity for their acti­vi­ties since Janu­ary 1, 2023, up to and inclu­ding the con­clu­sion of the Extra­or­di­nary Gene­ral Meeting.
