Western Asset Middle Market Income Fund Inc. (the Fund) is a non-diversified, closed-end management investment company. The Fund's primary investment objective is to provide high income. As a secondary objective, the Fund seeks capital appreciation. The Fund seeks to achieve its investment objectives by investing, under normal market conditions, at least 80% of its managed assets, which are the net assets of the Fund plus the principal amount of any borrowings and any preferred stock that may be outstanding, in securities, including loans, issued by middle-market companies. The Fund also invests up to 20% of its managed assets in non-middle-market securities. The Fund also may invest all or a portion of its managed assets in illiquid securities. The Fund is a managed portfolio consisting primarily of fixed-income securities. Legg Mason Partners Fund Advisor, LLC (LMPFA) is the Fund's investment manager. Western Asset Management Company (Western Asset) is the Fund's sub adviser.
